MUTUAL NON-DISCLOSURE AGREEMENT

This Mutual Non-Disclosure Agreement ("Agreement") is entered into on 11 May 2026 between:

(1) Apped & NZ Marketing Group Limited, a New Zealand company ("Apped"); and
(2) [Your name] ("Recipient").

Each party may be referred to as the "Disclosing Party" when sharing Confidential Information and the "Receiving Party" when receiving it.

1. CONFIDENTIAL INFORMATION
"Confidential Information" means any non-public information disclosed by one party to the other, whether orally, in writing, or in any other form, that is identified as confidential or that a reasonable person would understand to be confidential. This includes business plans, customer lists, pricing, source code, designs, marketing strategies, financial information, trade secrets, and any other proprietary information.

2. OBLIGATIONS OF THE RECEIVING PARTY
The Receiving Party agrees to:
(a) hold all Confidential Information in strict confidence;
(b) not disclose Confidential Information to any third party without the prior written consent of the Disclosing Party;
(c) use Confidential Information solely for the purpose of evaluating or undertaking a business relationship between the parties;
(d) protect Confidential Information using at least the same degree of care it uses for its own confidential information, and in no event less than reasonable care.

3. EXCLUSIONS
Confidential Information does not include information that:
(a) is or becomes publicly known through no fault of the Receiving Party;
(b) was known to the Receiving Party prior to disclosure;
(c) is independently developed by the Receiving Party without reference to the Confidential Information;
(d) is rightfully received from a third party without restriction.

4. TERM
This Agreement remains in effect for a period of three (3) years from the date of signing. The obligations of confidentiality survive termination of this Agreement.

5. NO LICENCE
Nothing in this Agreement grants either party any rights, by licence or otherwise, in any Confidential Information of the other party.

6. RETURN OR DESTRUCTION
Upon written request, the Receiving Party shall promptly return or destroy all Confidential Information in its possession.

7. REMEDIES
The parties acknowledge that monetary damages may not be a sufficient remedy for breach of this Agreement and that the Disclosing Party shall be entitled to seek injunctive relief.

8. GOVERNING LAW
This Agreement is governed by the laws of New Zealand. The parties submit to the exclusive jurisdiction of the New Zealand courts.

9. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties with respect to its subject matter and supersedes all prior agreements.
